Terms Of Use

Introduction

These Terms and Conditions govern access to and use of the Remote Solutions Africa website and establish general terms applicable to the services described on our website, subject to any separate written agreement.

We provide workforce and business support services to organizations operating across African countries. Depending on the agreed engagement, these services may include:

  1. Employer of Record (EOR) services.
  2. Payroll administration and outsourcing.
  3. Human resources support.
  4. Recruitment and talent acquisition.
  5. Employee onboarding and workforce administration.
  6. Immigration and work permit assistance.
  7. Tax registration and related administrative support.
  8. Market entry and entity setup support.
  9. Other agreed workforce and business services.

The precise services available to a particular client, and the legal entity responsible for delivering them, must be established in the applicable service agreement and any relevant country-specific documentation.

Scope and Relationship With Other Agreements

Note: These Terms apply to website use and provide general terms for our services.

A client engagement may also be governed by a separately signed Master Services Agreement, Service Agreement, Statement of Work, Country Schedule, Data Processing Agreement, employment contract, or other written document.

Where a signed agreement expressly governs a particular matter and conflicts with these general Terms, the signed agreement will govern that matter to the extent permitted by applicable law.

Note: These Terms do not replace an individual employment contract or override mandatory employment protections.

Where the parties intend to establish a formal EOR or other employment arrangement, the relevant employment and service documents must clearly identify the parties and their respective obligations.

Eligibility and Authority

By using our website or entering into a service agreement with us, you confirm that:

  1. You are legally capable of entering into the relevant arrangement.
  2. If acting for an organization, you have authority to act on its behalf.
  3. Information supplied to us is accurate to the best of your knowledge.
  4. You will comply with applicable laws and contractual obligations.
  5. You will not knowingly use our services for unlawful purposes.

Note: We may request additional information or documentation where reasonably necessary for service delivery, verification, risk management, or legal compliance.

Service Scope

Our services may include administrative support, coordination, recruitment, payroll processing, workforce management, immigration assistance, and other agreed activities. The precise scope depends on the engagement and may vary by country.

Unless expressly agreed in writing, we do not guarantee:

  1. A particular recruitment outcome.
  2. Approval of a visa, work permit, registration, or government application.
  3. A particular tax or regulatory outcome.
  4. The actions or decisions of government authorities.
  5. A particular business result or commercial outcome.
  6. The availability of every service in every country at every point in time.

Country-Specific Services

Before a country-specific service begins, the parties should identify the relevant country, service scope, responsible entities, applicable fees, and material legal and operational requirements. Where necessary, these matters should be documented in a country Schedule or other written agreement.

A Country Schedule may address:

  1. The legal entities involved.
  2. The proposed employment or service arrangement.
  3. The allocation of employer, client, and provider responsibilities.
  4. Payroll administration and payment arrangements.
  5. Applicable statutory deductions and contributions.
  6. Working time, leave, benefits, and employment records.
  7. Immigration and work authorization responsibilities.
  8. Data protection and information handling.
  9. Termination procedures and applicable notice requirements.
  10. Fees, invoicing, currency, and payment terms.
  11. Escalation and dispute procedures.

The relevant country’s mandatory laws will apply regardless of whether a contractual document contains every applicable legal requirement. A general statement that Remote Solutions Africa serves African countries does not mean that every service is available through the same legal structure or on identical terms in every jurisdiction.

Client Responsibilities

Clients agree to:

  1. Provide complete and accurate information necessary for the agreed services.
  2. Supply timely instructions, approvals, and documentation.
  3. Provide accurate information about job roles, working conditions, compensation, and business requirements.
  4. Pay invoices in accordance with the agreed payment terms.
  5. Notify us of material changes affecting the engagement.
  6. Cooperate with lawful verification and compliance requirements.
  7. Avoid instructing Remote Solutions Africa or its service providers to act unlawfully.
  8. Respect applicable employment, anti-discrimination, workplace safety, immigration, tax, and data protection requirements.
  9. Use employee and candidate information only for authorized and lawful purposes.
  10. Maintain any licenses, registrations, or approvals required for responsibilities retained by the client.

Where a client directs day-to-day work or exercises responsibilities under a particular employment arrangement, the allocation of responsibilities must be documented appropriately and remain subject to mandatory law.

Remote Solutions Africa Responsibilities

Subject to the agreed service scope, Remote Solutions Africa will use reasonable care and skill in delivering its services.

Our responsibilities may include:

  1. Coordinating agreed workforce and HR services.
  2. Providing agreed payroll or administrative support.
  3. Supporting recruitment and onboarding processes.
  4. Assisting with immigration or regulatory procedures where contracted.
  5. Maintaining appropriate business and service records.
  6. Protecting confidential information in accordance with applicable contractual and legal obligations.
  7. Communicating material service issues to the client.
  8. Cooperating with the client on relevant compliance matters.

The precise obligations of Remote Solutions Africa and any other employer, local partner, or service provider must be stated in the applicable agreement.

Nothing in these Terms transfers or removes a statutory obligation that applicable law places on a particular employer, client, controller, processor, or other regulated party.

Employer of Record and Employment Arrangements

  1. Where EOR services are provided, the parties must document the legal employment structure applicable to the relevant country.
  2. The employment contract should identify the relevant employer and employee and set out the applicable employment terms.
  3. The client service agreement should separately describe the services provided to the client and the allocation of contractual responsibilities.
  4. Depending on the jurisdiction and operating model, the legal employer may be Remote Solutions Africa or another appropriately appointed local entity or employment partner.
  5. No particular EOR structure should be assumed solely from these website Terms. The legal employer, employment obligations, and local arrangements must be confirmed in the signed documentation for the relevant engagement.
  6. Mandatory local employment law will prevail over any inconsistent contractual provision.

Recruitment and Candidate Information

  1. Where recruitment services are provided, we will use the information supplied by candidates and clients for the relevant recruitment and service purposes, subject to applicable law.
  2. Clients are responsible for ensuring that their hiring criteria and employment decisions comply with applicable laws.
  3. Unless expressly agreed otherwise, recruitment services do not guarantee that a candidate will accept an offer, remain employed for a particular period, or meet every expectation of a client.
  4. Any replacement, refund, or recruitment guarantee must be expressly set out in the applicable written agreement.

Payroll, Taxes, and Statutory Payments

Where payroll or related services are included, the parties will agree on the responsibilities for collecting payroll information, calculating amounts, processing payments, making deductions, and completing required reporting.

Clients must provide accurate and timely information necessary for the agreed services.

The applicable agreement should specify:

  1. Payroll cut-off dates.
  2. Payment and approval procedures.
  3. Funding deadlines.
  4. The treatment of corrections and adjustments.
  5. The allocation of responsibility for inaccurate or late information.
  6. Responsibility for statutory filings and payments.
  7. Fees for additional or exceptional work.

Responsibility for statutory obligations will depend on applicable law and the agreed service model. A contract cannot eliminate a legal obligation that the law imposes on a particular party.

Immigration and Work Permits

  1. Where immigration or work permit support is provided, we may assist with document coordination, application preparation, process management, or liaison with relevant parties.
  2. Government authorities retain responsibility for decisions on applications.
  3. Clients and individuals must provide accurate documentation and cooperate with lawful application requirements.
  4. Unless expressly agreed in writing, we do not guarantee approval, processing time, or a particular immigration outcome.
  5. No individual should begin work in circumstances where the applicable law requires authorization that has not been obtained.

Fees, Invoicing, and Payment

The fees for services will be stated in the relevant proposal, quotation, order form, or signed service agreement. Invoices must be paid within the period stated in the applicable agreement or invoice.

If the parties have not agreed on a payment period in writing, the default contractual payment period should be expressly established in the signed client agreement before services begin.

The applicable agreement should also state:

  1. The invoicing currency.
  2. Any applicable taxes.
  3. Whether fees are payable in advance.
  4. Payroll and employment funding deadlines.
  5. Bank charges and transfer fees.
  6. Currency conversion arrangements, where relevant.
  7. The consequences of late or incomplete payment.

Clients are responsible for providing funds by agreed deadlines where timely funding is necessary for payroll or other third-party payments.

Remote Solutions Africa will communicate material payment issues and may exercise contractual remedies for overdue amounts, subject to applicable law and the relevant agreement.

We will not impose an unagreed fee or penalty merely by relying on this general website document.

Confidentiality

Each party may receive confidential business, commercial, financial, personnel, or technical information from the other.

The receiving party should:

  1. Use confidential information only for the relevant business relationship.
  2. Restrict access to people who reasonably need it.
  3. Take reasonable steps to protect the information.
  4. Avoid unauthorized disclosure.
  5. Return, delete, or retain information as required by the applicable agreement and law.

Confidentiality obligations do not prevent disclosures required by law, court order, or a competent authority. The parties should document any additional confidentiality requirements in their signed service agreement.

Data Protection and Information Security

Each party must comply with applicable data protection laws in relation to its activities.

Depending on the service and jurisdiction, these may include the Nigeria Data Protection Act 2023, South Africa’s POPIA, Kenya’s Data Protection Act 2019, or other applicable laws. You can check our policy privacy page for more information.

The parties should identify their respective roles in relation to personal information. Depending on the processing activity, a party may act as a controller, processor, responsible party, operator, or in another legally recognized capacity.

Where required, the parties should enter into a Data Processing Agreement or other appropriate written arrangement addressing:

  1. The purposes and scope of processing.
  2. Categories of personal information.
  3. Instructions and permitted uses.
  4. Confidentiality and security obligations.
  5. Subcontractors and other recipients.
  6. International transfers.
  7. Data subject requests.
  8. Security incidents and breach notification.
  9. Retention, return, or deletion of information.

Each party remains responsible for the obligations applicable to its role under the relevant law. Our public privacy policy provides further information about our approach to personal information.

Intellectual Property

  1. Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property.
  2. Rights in materials created specifically for a client, including deliverables, documents, systems, and other work products, will be governed by the relevant signed agreement.
  3. Neither party receives ownership of the other party’s trademarks, branding, confidential materials, or proprietary systems merely by entering into a service relationship.

Third-Party Providers

  1. Certain services may involve third-party technology providers, payroll platforms, professional advisers, local partners, or other service providers.
  2. Their involvement and responsibilities will depend on the engagement.
  3. Where a third party processes personal information, the relevant parties should establish appropriate contractual and data protection safeguards where required by law.
  4. Remote Solution Africa will not be responsible for every independent act or omission of a third party. Responsibility will depend on the contractual arrangement, applicable law, and the circumstances involved.

Suspension and Termination

The duration and termination rights for a particular service will be set out in the applicable signed agreement. Subject to that agreement and applicable law, a party may have rights to suspend or terminate services in circumstances including:

  1. A material contractual breach that remains unresolved after any applicable cure period.
  2. Persistent non-payment.
  3. Unlawful instructions or activities.
  4. A material legal or regulatory impediment.
  5. Insolvency or similar events, where permitted by law.
  6. Other circumstances specified in the relevant agreement.

Termination must be handled in a manner consistent with applicable employment law and any separate employment contract. Ending a client service agreement does not automatically terminate an employee’s employment or extinguish accrued legal rights. The parties should agree on transition arrangements, outstanding payments, records, data retention, and continuing obligations when a service ends.

Indemnities and Allocation of Responsibility

Any indemnity or reimbursement obligation must be stated clearly in the applicable signed service agreement. The agreement should allocate responsibility fairly according to matters such as:

  1. Each party’s contractual obligations.
  2. Each party’s negligence, wilful misconduct, or breach of law.
  3. The accuracy and timeliness of information supplied by each party.
  4. Payroll instructions and funding responsibilities.
  5. Employment decisions and workplace conduct.
  6. The acts and omissions of subcontractors or local partners.
  7. Applicable statutory obligations.

No provision in these Terms should be interpreted as automatically transferring every employment, tax, payroll, or regulatory risk to the client. No party may contract out of a mandatory legal obligation where the applicable law prohibits doing so.

Limitation of Liability
  1. The financial limits, exclusions, and exceptions applicable to a particular service must be set out in the relevant signed service agreement.
  2. Before services commence, the parties should specify any applicable liability cap, how the cap is calculated, the relevant time period, and any agreed exceptions.
  3. Any limitation must comply with applicable law.
  4. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
  5. These general Terms do not establish a specific monetary liability cap. The parties should not rely on them as a substitute for a completed liability clause in their signed agreement.
Disputes and Governing Law
  1. The governing law, jurisdiction, and dispute resolution procedure for a client engagement should be stated in the applicable signed service agreement.
  2. The agreement should identify the appropriate legal entity and account for any mandatory laws applicable to the services or employment relationship.
  3. Nothing in these Terms excludes the jurisdiction of a court, tribunal, regulator, or other body where that jurisdiction is mandatory under applicable law.
